To begin working on your website a non-refundable deposit (your first month payment + domain registration fee) is to be paid to Actionbay Media Ltd. The remaining balance is due upon the receipt of the invoice by the agreed monthly instalment dates. Actionbay Media Ltd reserves the right, without liability, to remove web pages from the Internet if outstanding balances are not paid. Web hosting and domain name registration is a yearly occurring fee. The Client agrees to reimburse Actionbay Media Ltd for third party services such as web hosting, domain name registration, use of stock images or software.
Website Content
The client will supply the content for the web pages. If no content is readily available, we can use printed materials such as a brochure or flyer to get started. Should the client desire additional web pages beyond the original number agreed upon, the client agrees to pay Actionbay Media Ltd for the web pages at the current rate, or to upgrade to an appropriate package.
Website Updates
As part of our service, Actionbay Media Ltd manages the updates of your website (please allow us at least 14 days notice if the update is needed to be date specific).
Copyrights and Trademarks
The Client unconditionally guarantees that the text, graphics, photos, designs, trademarks, or other artwork furnished to Actionbay Media Ltd for inclusion on the web pages are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Actionbay Media Ltd from any claim or suit arising from the use of such elements furnished by the Client.
Copyright of the finished web pages produced by Actionbay Media Ltd is owned by Actionbay Media Ltd. When the final payment has been made by the Client, they are then granted the copyright. If the Client fails to keep up payments, and by doing so fail to purchase their website in full, they will relinquish any rights to the copyright.
Domain Names
Domain names purchased by Actionbay on behalf of the Client remain the property of the client subject to the Clients reimbursement of the registration fee.
Domain names are personalised to the consumer's specifications and service provision will begin from the moment the domain name registration is submitted to the registration authorities. Therefore, the consumer's right to cancel does not apply and Actionbay Media Ltd will make no refund for any domain name registration.
Actionbay Media Ltd accept no responsibility for usage of domain names, specifically including where conflict arises with trade marks, registered or unregistered or the right to use a name in any other context. A confirmation of registration is not intended to be evidence of ownership of a particular name.
Actionbay Media Ltd will send domain renewal notices by email to the email address given as the domain owner / registrant with full instructions for payment of renewal fees. You are advised to renew your domain names as early as possible. Failure to renew your domain name in sufficient time will result in the release of your domain name. Actionbay Media Ltd can accept no responsibility for the non-receipt of renewal notices nor for any losses incurred as a result of the release or non-renewal of your domain names.
Inspection and Testing
Although Actionbay Media Ltd strives for accuracy, unintentional errors may occur. The Client agrees to thoroughly proof read, inspect and test the web pages to ensure that the final product is to their satisfaction. Actionbay Media Ltd will not be held liable for any type errors or omissions.
Internet Service
Actionbay Media Ltd does not guarantee that the website will be uninterrupted or error-free. In no event will Actionbay Media Ltd be liable to the Client or any third party or damages, including, but not limited to, service interruptions, the online hosting service or any other circumstances beyond our reasonable control, any lost profits, lost savings or any other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this website, failure of any service provider, or any internet servers, you or your site visitor's computer or internet software.
Actionbay Media Ltd cannot guarantee that your website will reach the top of the search engine rankings, although Actionbay Media Ltd can ensure our customers that their website is performing to the its best potential.
